A non-solicitation agreement is a contract. It must be a signed contract to be enforceable. It prohibits a person from basically trying to persuade employees or customers of a business to go with a leaving employee, or someone else. It’s signed usually between employers and employees, but sometimes between a business and an independent contractor, or even between a buyer and a seller of a business. It is enforceable through a court injunction to prohibit unfair advantage by taking the relationship somebody’s developed while they’ve been employed and prohibiting them from taking customers when they leave
